Terms of Service

These Terms govern your use of CarrierSpring’s website, customer portal, formation, filing, dispatch, compliance, back-office, technology, recruiting, consulting, referral, and related services.

1. Agreement and eligibility

By using the site, creating an account, submitting an application, or purchasing a service, you agree to these Terms and acknowledge our Privacy Policy and Refund Policy. You must be at least 18 and authorized to act for the business identified in your application.

2. What CarrierSpring does

CarrierSpring is an independent business-support provider for motor carriers, owner-operators, fleets, logistics teams, and shippers. Depending on the service selected, we may organize information, prepare forms, coordinate authorized filings, provide dispatch or administrative support, maintain compliance records, assist with technology setup or recruiting workflows, provide operational consulting, and maintain a customer dashboard.

We are not a law firm, accounting firm, insurance agency, registered agent, government agency, employment agency, or financial adviser. We do not provide legal, tax, accounting, insurance, investment, or professional safety advice. You retain responsibility for business decisions, load acceptance, rates, hiring, supervision, regulatory compliance, and the accuracy of information and documents supplied to CarrierSpring.

3. No government affiliation or guaranteed result

CarrierSpring is not affiliated with FMCSA, USDOT, the IRS, any secretary of state, or any other government agency. Government services may be available directly from the applicable agency. Agency approval, processing times, name availability, operating authority, insurance placement, and business outcomes are not guaranteed.

4. Your responsibilities

  • Provide complete, current, and accurate information.
  • Review filing details and promptly correct errors before submission.
  • Respond to requests and meet agency, insurance, tax, and compliance deadlines.
  • Maintain required insurance, registrations, permits, records, equipment, and driver qualifications.
  • Keep account credentials secure and notify us of suspected unauthorized access.

You are responsible for consequences caused by inaccurate, incomplete, late, or unauthorized information you provide.

5. Filing authorization

Submitting an intake form does not itself file anything with a government agency. Before an agency submission, you may be asked to review the filing, provide additional information, sign an authorization, or complete an agency-controlled identity step. You authorize us to use the information you provide only to perform the services you request.

6. Prices and additional fees

Displayed CarrierSpring prices are service fees unless expressly stated otherwise. State and federal filing fees, process-agent fees, registered-agent fees, insurance premiums, drug-testing costs, taxes, shipping, payment-processing charges, and other government or third-party charges are additional. Fees may change before purchase; your checkout or written order controls for that transaction.

7. Payment, subscriptions, and refunds

Payment may be processed by a third-party provider under its own terms. A custom service request is not a purchase until you accept the written scope and price or complete the applicable checkout. Recurring service plans continue for the agreed billing period until canceled. Cancel before the next billing date to avoid a future charge; cancellation does not reverse a charge already earned for the current period. Refund eligibility is governed by our Refund Policy.

8. Communications and electronic records

You consent to receive service-related communications electronically through the dashboard, email, text, or phone using the contact information you provide. Standard carrier charges may apply. Service messages are not marketing messages. You may withdraw consent to nonessential marketing at any time, but we may still send transactional or legally required notices.

9. Partner offers and merchandise

Optional insurance, ELD, registered-agent, printing, apparel, vinyl, or other partner offers are provided by independent third parties. We may receive referral compensation. Your purchase from a partner is governed by that partner’s prices, terms, licenses, warranties, privacy practices, and refund rules. Custom products may require artwork approval and may not be returnable after production begins.

10. Acceptable use

You may not misuse the site, impersonate another person, submit information without authority, upload malicious material, interfere with security, attempt unauthorized access, or use CarrierSpring to facilitate unlawful activity. We may suspend access or decline service when reasonably necessary to protect customers, CarrierSpring, a partner, or a government filing system.

11. Disclaimers

The site and services are provided on an “as available” basis. To the maximum extent permitted by law, CarrierSpring disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant uninterrupted access, error-free third-party systems, available freight, specific rates, successful hires, cost savings, or a particular regulatory or commercial result.

12. Limitation of liability

To the maximum extent permitted by law, CarrierSpring will not be liable for indirect, incidental, special, exemplary, or consequential damages, lost profits, lost loads, lost business, or agency or partner delays. CarrierSpring’s total liability for a claim will not exceed the CarrierSpring service fees you paid for the service giving rise to that claim. Nothing in these Terms limits liability that cannot lawfully be limited.

13. Changes and severability

We may update these Terms prospectively by posting a revised effective date. Material changes will apply to future use or purchases unless applicable law requires another notice method. If a provision is unenforceable, the remaining provisions remain in effect. These Terms, the policies linked here, and your written order form the agreement for the services purchased.
